Pursuant to Sections 198 to 202 of the Companies Act 1985, we were advised on
18th January 2006 that Schroder Investment Management Limited on its own behalf
as investment managers and on behalf of Schroders plc (its holding company),
Schroder Unit Trusts Limited and Schroder & Co. Limited (its affiliated
companies) and Schroder Nominees Limited (a wholly owned subsidiary nominee
company) have an interest in 19,688,958 ordinary shares of 2p each in Charter
plc equivalent to 11.913% of the issued share capital of Charter plc.
