Charter PLC announces that by 10.30 a.m. on 1 April 2004, the latest time and date for acceptance and payment in full for new Ordinary Shares under the terms of the Rights Issue announced on 20 February 2004, valid acceptances were received in respect of 54,448,396 new Ordinary Shares, representing approximately 96.39 per cent of the new Ordinary Shares offered by way of rights at 85 pence per share.

Hoare Govett will therefore be seeking to procure subscribers for the remaining 2,039,356 new Ordinary Shares.
