Charter plc Appoints Michael Foster as Commercial Director

The Board of Charter plc announces the appointment of Michael Foster as Commercial Director. Mr Foster, a non-executive director of Charter since December 2001, will take up his appointment as an executive director in January 2005. In the light of this, Mr Foster will be offering himself for re-election as a director at the 2005 Annual General Meeting of the Company.

Mr Foster was an executive director of RMC Group plc from 2000 until June 2004 and was responsible for its UK and USA activities.

David Gawler, Chairman and Chief Executive of Charter, said:

“The Board is delighted that Michael Foster has agreed to accept this position where his wide experience will prove invaluable as Charter continues the task of improving the underlying performance of its two key global businesses, Esab and Howden.”

Note to Editors:
After graduating as an engineer from Cambridge, Michael Foster (51) qualified as a barrister and practiced law for a number of years before moving into industry. He joined GKN plc as a lawyer, and moved into treasury and corporate finance roles before taking responsibility for significant global engineering businesses in Trafalgar House and later Kvaerner. Mr Foster joined the Board of RMC Group plc in 2000, subsequently serving as Executive Director for the Group’s UK and USA activities. He stepped down from the RMC Board in June 2004, following a reorganisation and will leave the service of RMC at the end of this year.
