Trading Update and Directorate Change

At the time of the interim results announcement on 10 September 2004, the Company reported that in view of trading to date, the Board continued to view the outcome for 2004 with confidence. The Board now expects the Group's results for the year as a whole to be ahead of the Board's previous expectations, as a result of the trading performances of Esab and Howden.
The Board of Charter also announces that Mr Homi Mullan has resigned with effect from today. The Hon. James Bruce, who has been a Non-executive Director of Charter since December 2001, replaces Mr Mullan as Senior Independent Non-executive Director.
The Board intends to appoint two additional Non-executive Directors and will make an announcement in this regard in due course.
