Result of placing (the "Placing")
Charter is pleased to announce the successful completion of the Placing announced earlier today. A total of 7,531,800 new ordinary shares of 2 pence each ("Placing Shares") have been placed, by Hoare Govett Limited, with institutions at a price of 258 pence per share, raising approximately £19.4 million before commissions and expenses.
The Placing Shares will be issued credited as fully paid and will rank pari passu in all respects with Charter’s existing ordinary shares of 2 pence each, including the right to receive all dividends and other distributions declared, made or paid after the date of issue.
The Placing is conditional, inter alia, on admission of the Placing Shares to the Official List of the UK Listing Authority and to trading on the London Stock Exchange (together "Admission"). It is expected that settlement will occur, Admission will become effective and dealings in the Placing Shares will commence on 3 May 2005.
Application has been made to the UK Listing Authority for the Placing Shares to be admitted to the Official List maintained by the UK Listing Authority, and for such shares to be admitted to trading by the London Stock Exchange.
